1. Accounts
You must be at least 18 years old and able to enter a binding contract to use the Service. You agree to give accurate account information and keep it up to date.
You are responsible for keeping your login credentials confidential and for all activity under your account. Account administrators are responsible for the users they invite. The number of users on an account is limited by its plan.
Tell us right away at support@sharecad.com if you believe your account has been accessed without permission.
2. Your Files
You keep all ownership rights in the files and data you upload ("Your Files"). We do not claim ownership of Your Files.
You give ShareCAD a limited license to store, copy, convert, display and transmit Your Files only as needed to provide the Service to you and to the people you share them with. We do not sell Your Files and we do not use them to train artificial intelligence models.
You are responsible for Your Files and for having the rights needed to upload and share them.
3. Sharing and Recipients
When you share a file or folder by link, anyone who has the link can access it according to the settings you choose. You decide who receives your links, and you are responsible for sharing them only with the intended recipients.
Recipients who view, download or upload files through a ShareCAD link must follow the Acceptable Use rules in Section 5.
4. File Conversion and Third-Party Services
To display certain CAD and BIM formats in the browser, the Service sends those files to Autodesk Platform Services for conversion and viewing. The Service also relies on other providers, including Amazon Web Services for hosting and storage and Stripe for payments. Our Privacy Policy lists these providers and what they receive.
We are not responsible for outages or changes in third-party services, but we will work to limit their effect on you.
5. Acceptable Use
You agree not to use the Service to:
- upload or share anything unlawful, or anything you do not have the right to share;
- distribute malware, spam or phishing content;
- access another user's account or files without permission, or try to bypass security or usage limits;
- probe, scan, disrupt or overload the Service, or reverse engineer it except where the law allows;
- resell or provide the Service to third parties as your own service without our written permission.
Engineering and design files can be controlled technical data. You are responsible for complying with all export control and sanctions laws that apply to Your Files, including the U.S. International Traffic in Arms Regulations (ITAR) and Export Administration Regulations (EAR). Do not use the Service for data that may only be stored on systems meeting requirements the Service does not meet.
6. Plans, Billing and Renewal
Paid plans are billed in advance, monthly or annually, through our payment processor, Stripe. Subscriptions renew automatically at the end of each billing period until canceled. Prices do not include taxes, which are added where required.
If we change the price of your plan, we will tell you at least 30 days before the change applies to your next renewal.
Conversion tokens are prepaid credits used for file conversions. They have no cash value, cannot be transferred, and are not refundable except where required by law.
If a payment fails, we may suspend or cancel your subscription until the balance is paid.
7. Cancellation and Refunds
An account administrator can cancel a subscription at any time from Settings. Cancellation takes effect at the end of the current billing period, and you keep access until then.
Fees already paid are not refundable, including for partial billing periods, except where required by law.
8. Deletion and Your Data After Cancellation
When you upload a new version of a file, we keep the earlier versions for as long as your account is open.
When you delete a file, we keep it for 30 days, during which you can email support@sharecad.com to have it restored. After that, the file and all of its earlier versions are permanently deleted and cannot be recovered. Keep your own copies of important files.
You can download Your Files at any time while your subscription is active. After your subscription ends, we keep Your Files for at least 30 days. During that time you can reactivate your subscription, or email support@sharecad.com and we will provide a copy of Your Files. After that period, we may permanently delete Your Files and account data.
9. Suspension and Termination
We may suspend or terminate access to the Service if you break these Terms, fail to pay, or use the Service in a way that creates a security or legal risk for us or others. Where practical, we will notify you first and give you a chance to fix the problem.
You may stop using the Service at any time. Sections 2, 6, 8 and 10 through 17 continue to apply after your account ends.
10. Our Intellectual Property
ShareCAD owns the Service, including its software, design and brand. These Terms do not give you any rights in them except the right to use the Service as described here.
If you send us feedback or suggestions, we may use them without any obligation to you.
11. Availability and Changes to the Service
We work to keep the Service available and secure, but we do not guarantee it will be uninterrupted or error-free. We may add, change or remove features over time. If we remove a feature that is a material part of your paid plan, we will tell you in advance.
12. Disclaimers
Except as stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. File previews are for viewing and coordination. Always confirm critical dimensions and details against the original source files.
13. Limitation of Liability
To the fullest extent allowed by law, ShareCAD will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill.
ShareCAD's total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim arose, or $100.
14. Indemnification
You agree to defend and indemnify ShareCAD against claims, losses and costs, including reasonable legal fees, arising from Your Files or from your use of the Service in breach of these Terms or the law.
15. Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to its conflict of law rules. Any dispute will be resolved in the state or federal courts located in Ohio, and both parties consent to their jurisdiction.
16. Changes to These Terms
We may update these Terms. For material changes, we will notify account administrators by email or in the app at least 14 days before the changes take effect. Continuing to use the Service after that date means you accept the updated Terms.
17. General
These Terms, together with our Privacy Policy and any order form you sign with us, are the entire agreement between you and ShareCAD about the Service. If an order form conflicts with these Terms, the order form controls.
If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them as part of a merger, acquisition or sale of assets.
